   2.2. Prices are as stated on the Company's official price list and are subject to change. 

   2.3. Payment terms and methods will be specified in the invoice.

3. Production and Delivery: 

   3.1. Production and delivery timelines will be communicated to the Customer upon order confirmation.

   3.2. The Company reserves the right to make partial shipments.

4. Quality Assurance and Compliance: 

   4.1. Medical Products comply with all relevant Swiss and EU regulations and standards. 

   4.2. The Company guarantees the quality and safety of its products.

5. Intellectual Property & Content: 

   5.1. The Company retains all intellectual property rights related to its Products. 

   5.2. Customers shall not reproduce, distribute, or use the Company's intellectual property without written consent.
   5.3. The content on our websites for information purpose only and should not be considered a medical advice. Company makes no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to the website or the information, products, services or related graphics contained on the website for any purpose.

6. Marketing and Promotion: 

   6.1. Marketing materials provided by the Company must be used in accordance with applicable laws and regulations. 

   6.2. Customers are responsible for obtaining necessary approvals for marketing and promotional activities.

7. Warranty and Returns: 

   7.1. The Company provides a warranty for its Medical Products. 

   7.2. Returns will be accepted in accordance with the Company's return policy.

8. Liability and Indemnification: 

   8.1. Company shall not be liable for any damages arising out of or in connection with the use or inability to use the materials on our website, even if Company or an authorized representative has been notified orally or in writing of the possibility of such damage.    9.1. Either party may terminate the agreement with written notice if the other party breaches any material term.

10. Governing Law and Dispute Resolution: 

    10.1. This agreement is governed by the laws of Switzerland. 

    10.2. Any disputes arising from this agreement shall be resolved through arbitration in accordance with Swiss arbitration laws.

11. Amendments: 

    11.1. Any amendments to this agreement must be made in writing and signed by both parties.

By entering into a business relationship with LYR Medical Group GmbH, the Customer acknowledges and agrees to abide by these terms and conditions.
